GIVEAWAY TERMS AND CONDITIONS

OFFICIAL RULES

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING.

1. The Biocare “October 2024 Recipe Contest” Giveaway is open to legal residents of the United States. Entrants must be 18 years of age or older as of date of entry. This “October 2024 Recipe Contest” Giveaway is subject to federal, state and local laws and regulations and void where prohibited by law. Biocare employees, officers and directors and its parent companies, subsidiaries, affiliates, partners, advertising and promotion agencies, manufacturers, or distributors of Giveaway materials (collectively “Employees”, as well as members of an Employee’s immediate family of the same and/or those living in the same household of Employees are ineligible to enter the Biocare “October 2024 Recipe Contest” Giveaway.

2. Sponsorship: The Sponsor is Biocare and its parent, affiliate and subsidiary companies (“Sponsor”), located at 821 East Gate Drive, Mount Laurel, NJ 08054. Sponsor will conduct the “October 2024 Recipe Contest” Giveaway substantially as described in these Official Rules.

3. Agreement to Rules: By entering this “October 2024 Recipe Contest” Giveaway, the Entrant (“You”) agrees to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. The Sponsor reserves the right to refuse, withdraw, or disqualify any entry at any time at the Sponsor’s sole discretion. By entering this “October 2024 Recipe Contest” Giveaway, You represent and warrant that You are eligible to participate based on eligibility requirements explained in the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the content of this Biocare “October 2024 Recipe Contest” Giveaway.

4. Timing: The Giveaway begins on Wednesday, October 16, 2024, at 12:01 a.m. ("EDT — Eastern Time") and ends on Wednesday, October 23, 2024, at 11:59 p.m. ("EDT — Eastern Time").

5. How to Enter. Eligible Entrants can enter the Biocare “October 2024 Recipe Contest” Giveaway by submitting a recipe that utilizes one (or more) of the three available Biocare flavors [Chocolate, Strawberries & Cream or Chocolate Salted Caramel] via the online entry form located at: https://biocarenutrition.com/pages/semaglutide-diet-recipes. Entry into the Giveaway is by this process only. Limit one (1) entry per person, per email. No automated entry devices and/or programs permitted. An Entrant who attempts to participate with multiple email addresses or under multiple identities or uses any device or artifice to enter multiple times will be disqualified. In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the email address associated with the entry. “Authorized Account Holder” is defined as the person assigned to an unique email address by a recognized provider. All materials submitted become the property of Sponsor and will not be returned. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries or mail, which will be disqualified, or for problems of any kind whether mechanical, human, or electronic. Proof of submission will not be deemed to be proof of receipt by Sponsor. By entering the “October 2024 Recipe Contest” Giveaway, entrants fully and unconditionally agree to be bound by these rules and the decisions of the Sponsor, which will be final and binding in all matters relating to the “October 2024 Recipe Contest” Giveaway.

6. Random Drawing/Odds. Three (3) entrants will be randomly selected by the Sponsor to receive a prize. Limit: One (1) entry per person. Odds of winning a Prize depend upon the total number of eligible entries received. By entering the “October 2024 Recipe Contest” Giveaway, You fully and unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the “October 2024 Recipe Contest” Giveaway. Sponsor will announce (3) Winners via email on Wednesday, October 30, 2024. The Winner must provide us their personal information to redeem their prize. If the Winner does not redeem the prize within two (2) days of the Winner Announcement, the prize will be forfeited, and Sponsor will award the prize to an alternate winner randomly drawn from the original pool of entrants. If the prize cannot be awarded after three (3) alternate winners have been notified, the prize will remain un-awarded.

7. Winner (Grand Prize) will win one (1) box of Biocare [Chocolate, Strawberries & Cream or Chocolate Salted Caramel] and a $50 Amazon© Gift Card. Retail Value (“RV”) of Prize is $110 per winner. Limit one (1) Prize per winning entrant. Prizes are non-transferable. No substitutions or cash redemptions. In the case of unavailability of any prize, Sponsor in its sole discretion reserves the right to substitute a prize of equal or greater value. All expenses not specifically listed herein are the responsibility of the winners. All federal, state and local taxes are the sole responsibility of the Winner.

8. Prize Delivery. Winners will be sent Prize via e-mail within 2-4 weeks of receipt of winner’s direct message response. The Sponsor is not responsible if the Prize cannot be delivered due to an incorrect email address or for lost or misdirected requests.

9. All taxes are the sole responsibility of the winners. By participating, You agree to release and hold harmless Sponsor and its advertising and promotion agencies and its parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers, directors and members, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in “October 2024 Recipe Contest” Giveaway, or possession, acceptance and/or use or misuse of prize or participation in any Giveaway-related activity and claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Entrants, who do not comply with these Official Rules or attempt to interfere with this “October 2024 Recipe Contest” Giveaway in any way, shall be disqualified. Prizes are non-transferable. No substitutions or cash redemptions. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. There is no purchase or sales presentation required to participate. A purchase does not increase odds of winning.

10. Additional Terms for Online Giveaway. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend this “October 2024 Recipe Contest” Giveaway should (in its sole discretion) virus, bugs, non-authorized human intervention or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the “October 2024 Recipe Contest” Giveaway. In such case, Sponsor will select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any entrant it finds, in its sole discretion, to be tampering with the entry process or the operation of the “October 2024 Recipe Contest” Giveaway. Additionally, Sponsor reserves the right to prosecute any fraudulent activities to the full extent of the law. In case of dispute as to the identity of any Entrant, entry will be declared by the Authorized Account Holder of the email address submitted at time of entry. “Sponsor, is not responsible for technical, hardware, software, telephone or other technical or communications malfunctions including, but not limited to lost/delayed data transmission, omission, interruption, deletion, defect, line failures or any telephone network, computer equipment, software, inability to access any Website or on-line service, incorrect or inaccurate transcription of entry information, or for any human error or failures or lost or unavailable network connections, Website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one's ability to enter the “October 2024 Recipe Contest” Giveaway, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this “October 2024 Recipe Contest” Giveaway or downloading any materials in this “October 2024 Recipe Contest” Giveaway.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE “OCTOBER 2024 RECIPE CONTEST” GIVEAWAY MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Release: By receipt of any prize, winners agree to release and hold harmless Sponsor and Sponsor’s suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, members, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the “October 2024 Recipe Contest” Giveaway or receipt or use or misuse of any prize.

12. Use of Data. Sponsor will be collecting personal data about Entrants online, in accordance with its privacy policy. Please review the Sponsor’s Privacy Policy. By participating in “October 2024 Recipe Contest” Giveaway, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy.

13. List of Winners. To obtain the name of the winners, send a self-addressed, stamped envelope by Friday, November 1, 2024, to: Biocare, ATTN: “October 2024 Recipe Contest” Giveaway, 821 East Gate Drive, Mount Laurel, NJ 08054.

14. Entrant Submissions/License Granted to Biocare. By submitting your submissions, You expressly acknowledge and agree that You and only You will be responsible for the content of your submissions and for any consequences that may arise therefrom. When You submit (or attempt to submit) your entry you automatically grant to Sponsor an irrevocable, perpetual, worldwide, unconditional, unrestricted, fully-paid, royalty-free, transferable, fully sub-licensable, non-exclusive right and license to display, distribute (including, without limitation, through third-party sites, blogs, microblogs and other social networking media and Internet resources), store, host, broadcast, webcast, transmit, distribute, tag, reproduce, edit, modify, delete, create derivative works, and/or otherwise use, reuse, assign, and/or otherwise exploit your submissions and any names, likenesses, voices, images, digital recordings, performances, and other ideas, concepts, feedback and other materials included in your submissions, in any manner, medium or content now known or hereinafter devised, for any purpose, as determined solely in Sponsor’s (or its authorized designees/licensees') sole discretion, without the requirement for any compensation to You or anyone else, or the need to require additional consent from You or anyone else, or the need to provide prior notification or any credit to You or anyone else.
